By-Laws as they relate to our Board of Directors
The elections of directors is held each December at the annual Christmas party. The new directors take office January 1st of each year. Each member of the Board of Directors serves a term of one year, except for President and Treasurer, who serve two year terms. If, for some reason, an officer (other than President) can not serve a full term, the majority of members at the next meeting shall vote another director in to fill the unexpired term. In the case of the President, the Vice-Presidet will assume the office of President and the office of the Vice-President will be filled by popular vote.
SECTION 2 – ELIGIBILITY Eligibility of candidates for the positions of Board of Directors shall be that (he or she) be a member in good standing for one (1) year prior to being elected and be familiar with all the activities of the club.
SECTION 3 – DIRECTORS
The government of this organization shall be vested in the Board of Directors consisting of six (6) elected members, and the offices of President, Vice-President, Treasurer and Secretary. The immediate past president automatically serves as one (1) of the six (6) directors.
President: a. Shall preside at all club meetings b. Call special meetings c. Appoint all necessary committees d. Vote at meetings only in case of a tie e. Meet with Directors f. Assist in the preparation of all meetings g. The President has authority to suspend club member or members until the next club monthly meeting for by-law infractions. h. At the discretion of the President, any board member who is absent more than two consecutive meetings may be replace by the President, or a vacancy caused by any officer unable to unwilling to serve may be filled by the President. Vice-President: The Vice-President shall preside in the capacity of the President during the absence of the President.
Secretary: a. Keep records of all meetings b. Mail all correspondence c. Maintain and update club rosters on periodic basis d. Have charge of all printing e. Mail promptly all notices of meeting dates f. Carry out other duties as directed by the President
Treasurer: a. Collect all dues b. Sign all checks (with President’s signature also) c. Make deposits d. Give a financial report at all meetings e. Carry out other duties as directed by the President
Board of Directors: a. The President of the club will be Chairman of the Board of Directors. b. Call special meetings upon written request of a club member when the President is unavailable or refuses. c. Receive and investigate all written complaints on any matter concerning the club or its activities. d. Shall attend all board meetings. Any member who is absent more than two (2) consecutive meetings may be removed from office at the President’s discretion.
